| Terms and Conditions of the Copart Direct Employee Referral Program
The following are the terms and conditions ("Agreement") for the Employee Referral Program whereby Copart, Inc. ("Copart") employees may direct potential vehicle sellers to any Copart Direct web site (the "Site") or phone number (the "number") to sell their vehicle to Copart. Acceptance: By registering to promote the websites and phone number of Copart Direct to potential vehicle sellers (the "Program"), you agree to be bound by this Agreement. Following registration, Copart may provide you with employee referral cards that include a unique Employee Referral Program identifying number that potential vehicle sellers can provide to Copart when selling their vehicle to Copart. Copart may also provide you with a written promotional script that you may post on your social media account. Fees: Copart agrees to pay you a fee of $50, subject to applicable withholding, for every 2001 and older vehicle purchased by Copart where the seller provided your Employee Referral Program identifying number prior to the time the vehicle is purchased by Copart. Copart agrees to pay you a fee of $100, subject to applicable withholding, for every 2002 and newer vehicle purchased by Copart where the seller provided your Employee Referral Program identifying number prior to the time the vehicle is purchased by Copart. Payments will be paid on a bi-weekly basis the next normal payroll period for all cars that have been confirmed purchased during the previous two-week period. You must be a Copart employee in good standing, at the time the payment is made, in order to receive a fee. Conduct: You may distribute your Employee Referral Program identifying number to potential vehicle sellers only in the following manner: a) distribution of Copart-provided referral cards; and/or b) posting of Copart-approved promotional scripts (without any modification other than inclusion of your Employee Referral Program identifying number) on your social media accounts. You agree that your activity under the Program shall at all times be in accordance with due regard for public conventions and morals. Walk-in and phone-in leads that come to the yard are NOT eligible for this promotion. This program is only for you to refer family members and friends. Modification: Copart reserves the right to modify the Agreement or terminate the Program at any time. Any modification or termination shall be effective upon the posting by Copart of the modified Agreement or termination notice at www.CopartDirect.com/100 Entire Agreement: Subject to any modifications by Copart pursuant to Section 5, this Agreement constitutes the entire agreement between you and Copart with respect to the Employee Referral Program. Assignment: This Agreement cannot be assigned and is currently only open to Copart employees. Copart Direct employees are not eligible for this program.
